Announcements & Updates To Stakeholders

Notice to all Shareholders of the Company on administration of shares following withdrawal from Bursa Malaysia Depository

KNM GROUP BERHAD (“THE COMPANY”)

NOTICE TO ALL SHAREHOLDERS OF THE COMPANY ON ADMINISTRATION OF SHARES FOLLOWING WITHDRAWAL FROM BURSA MALAYSIA DEPOSITORY

We refer to the withdrawal of the Company’s securities from Bursa Malaysia Depository since 3 July 2026 and the consequent cessation of the maintenance of the Company’s shares through the Central Depository System (“CDS”).

Following the withdrawal, the Company’s shareholding records are maintained through the Company’s Register of Members, administered by the Company’s appointed Share Registrar.

It is therefore important to note that:

i. Shareholders are not required to surrender an individual physical share certificate if they have never been issued one. The previous physical certificate maintained by the Company was a jumbo share certificate in the name of Bursa Malaysia Depository, and was not an individual certificate issued to each shareholder. The jumbo share certificate will be cancelled as part of the Company’s transition following the withdrawal of its securities from Bursa Malaysia Depository.

ii. As the Company’s shares are no longer maintained in CDS, shareholders should no longer use the CDS transfer mechanism for subsequent transfers of the Company’s shares. All transfers are to be effected through the Company/Share Registrar in accordance with the applicable requirements.

Accordingly, we wish to set out below the procedures to be followed in respect of transfers of shares and the issuance of physical share certificates.

1.      Transfer of Shares

Any shareholder wishing to transfer all or part of his/her/its shares to another person is required to submit the following documents to the Company/Share Registrar:

(i) a duly completed and executed Instrument of Transfer (a copy of which is available on the Company’s website);
(ii) the duly stamped Instrument of Transfer, evidencing payment of the applicable stamp duty;
(iii) the original share certificate, where a physical share certificate has previously been issued; and
(iv) such other supporting documents as may be required by the Company/Share Registrar for verification purposes.

The particulars stated in the Instrument of Transfer, including the transferor’s and transferee’s particulars, number and class of shares and certificate details, where applicable, must correspond with the Company’s records.

Upon receipt and verification of the duly completed and stamped transfer documentation and satisfaction of the applicable requirements, the Company/Share Registrar will proceed to register the transfer and update the Register of Members accordingly.

Please note that a transfer cannot be processed or registered until the duly completed, executed and stamped Instrument of Transfer and the requisite supporting documents have been received by the Company/Share Registrar.

2. Physical Share Certificates

Shareholders who wish to obtain a physical share certificate in respect of their shares may submit a written request to the Company/Share Registrar.

Upon verification of the shareholder’s entitlement against the Register of Members and satisfaction of the applicable requirements, a physical share certificate will be issued in accordance with the Companies Act 2016, the Company’s Constitution and the procedures adopted by the Company/Share Registrar.

Where a physical share certificate has already been issued, the original certificate will be required for any subsequent transfer, replacement or other transaction involving the shares, unless otherwise permitted under the applicable requirements.

3. Transmission of Shares Upon Death

In the event of the death of a registered shareholder, the shares are not transferred in the ordinary manner but are dealt with by way of transmission in accordance with the Companies Act 2016 and the Company’s Constitution.

The legal personal representative of the deceased shareholder will be required to provide the relevant estate documents, including the Death Certificate and Grant of Probate or Letters of Administration, together with the prescribed application and supporting documents.

The Company/Share Registrar will then advise on the requirements for registering the transmission and, where applicable, the subsequent transfer of the shares to the beneficiary of the estate.

4. Submission of Documents

All documents relating to transfers, transmission of shares and applications for physical share certificates should be submitted to:

An additional fee of RM250 will be payable where the new shareholder elects to have a physical share certificate issued in his/her name.
